OUR TOTAL LIABILITY SHALL NOT EXCEED $1,000 OR THE AMOUNT YOU PAID FOR SERVICES IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless GiftShofer Solutions Inc. and its officers, directors, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or applicable laws
• Your use or misuse of the Platform
• Your User Content or submissions
• Your violation of any rights of another party
• Any negligent or wrongful conduct on your part

12. Termination & Account Suspension

We may terminate or suspend your access to the Platform immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Platform will immediately cease
• We may delete your account and associated data
• You must cease all use of Platform materials
• Provisions that should survive termination will remain in effect

You may terminate your account at any time by contacting us or using account deletion features.

13. Dispute Resolution & Governing Law

13.1 Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

13.2 Jurisdiction:

Any disputes arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to the personal jurisdiction of such courts.

13.3 Alternative Dispute Resolution:

For disputes involving claims under $10,000, you agree to attempt resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You waive your right to participate in class action lawsuits or class-wide arbitration.

14. Privacy & Data Protection
